Understanding Ontario Corporation Filings

Initial Return

After incorporating under the Ontario Business Corporations Act, it is mandatory under the Corporations Information Act (CIA) to complete and file with the Ministry of Government Services (MGS) an Initial Return/Notice of Change within 60 days.

Change of Address

Whenever a corporation changes its office address, it is mandatory under the CIA to complete and file with MGS an Initial Return/Notice of Change within 15 days after the change.

Change of officer and director information

Whenever there is a change of officer and/or director information, it is mandatory under the CIA to complete and file with MGS an Initial Return/Notice of Change within 15 days after the change.

NOTE: Under the Ontario Business Corporations Act, if you need to change the minimum or maximum number of directors as originally set out in the Articles of Incorporation, you must complete and submit Articles of Amendment together with the prescribed fee. Articles of Amendment can only be filed in-person or by mail.

Change of corporate name

If you need to change the name of a corporation, you must obtain a NUANS® report on the new name, then complete and submit Articles of Amendment together with the NUANS® report and the prescribed fee.

Change of shares and provisions

If you need to change the share structure or provisions of a corporation, you must complete and submit Articles of Amendment together with the prescribed fee.

Annual Return filings

An Annual Return filing is mandatory for Ontario business corporations, foreign extra-provincial corporations and corporations incorporated under the Corporations Act (i.e. not-for-profit corporations). The Annual Return may be filed any time during calendar year but it must be filed BEFORE the prescribed due date for that corporation type:

Ontario business corporations and foreign extra-provincial corporations must file their Annual Return within six months after the end of their taxation year.
- Corporations incorporated under the Corporations Act must file within 60 days of the anniversary of incorporation or amalgamation.
